Terms & Conditions
Unless agreed in writing prior to commencement of work, services to customers will be provided in accordance with the following Terms and Conditions.
Scope of Supply
The scope of supply of consulting activities may include:
- Client engagement
- Tender documentation development and construction
- Bid or proposal management
- Commercial development and engineering
- Operational process development – ITIL based
- Programme and project management – Prince II and OGC based
- Business process development or re-engineering
- Telecommunications strategy development – technology and supplier engagement
- Other related activities agreed with the Customer
Services to be defined in a formal scope of works document prior to commencement of the engagement.
Intellectual Property & Copyright
RightServ takes reasonable care to ensure that all material it provides complies with any relevant Intellectual Property and Copyright provisions. Any material specifically developed by RightServ for a Customer shall remain the Intellectual Property of RightServ until the Customer has paid for that material.
Availability of Information
The Customer will make available all relevant company information, commercial details, strategy documentation or material of a project or operational nature requested verbally or in writing that would enable the scope of work to be completed.
The Customer is responsible for the accuracy, legality and copyright of all such information provided. RightServ must be informed immediately if the customer becomes aware of any dispute or circumstance regarding the validity of information provided.
Where access to Customer site(s) or personnel is required in order to accurately complete the scope of work, this will be organised by the Customer in a timely manner.
Limitation of Liability
The Customer acknowledges that:-
RightServ shall not in any circumstances be liable under this agreement or otherwise for any direct or indirect loss, loss of business, revenues, profit or savings; wasted expenditure; corruption or destruction of data; or for any indirect or consequential loss whatever arising from negligence, breach of contract or otherwise.
In any event RightServ liability in contract, tort or otherwise (including negligence) howsoever arising out of or in connection with this agreement shall, in respect of any one or more incidents, not exceed the total fees received by RightServ, from the Customer in the calendar year in which the incident occurs.
The Customer shall indemnify RightServ against any claims, legal proceeding and expenses (including legal fees), arising from the customers use of the Service which are brought or threatened against RightServ by any person or company
The RightServ web site contains general information only about the services provided and RightServ accepts no responsibility whatsoever for the use by the Customer of any information contained on the web site or any action taken as a result of such information and disclaims all liability in respect of such information. RightServ further accepts no liability for any loss, damage, costs, expenses or claims suffered or incurred by any person as a consequence of any use or inability to use the web site.
RightServ can accept no liability for any goods or services provided by third party suppliers that may be acquired on behalf of the Customer in conjunction with the Services. Any goods or services which are not stated to be provided by RightServ personally are provided by third parties over whom RightServ has no control.
Quotations
Any quotation provided by RightServ shall be provided in good faith and based on reasonable analysis of the requirements. Any timescales, however, are estimates and in the event they prove to be materially incorrect as a result of unexpected work or rework then RightServ reserves the right to review the proposed charges.
Termination
In the event that the Customer terminates any assignment before completion for any cause other than material failure to perform on the part of RightServ then the charges will remain due in full.
Charges and Payment Conditions
Charges for Services offered by RightServ will be in accordance with those agreed in the formal scope of works.
Charges will be on a day rate plus materials basis. Expenses applicable to carrying out the Services will be in addition to the day rate.
10 working days notice will be given in writing for any change of day rate or price.
All RightServ charges are exclusive of VAT. (VAT Registration for RightServ is 914910238).
Terms of payment are 30 days from date of invoice. RightServ reserve the right to charge interest at 2% above the current bank rate in situations where these terms of payment are not met.
Force Majeure
Neither RightServ nor the Customer shall be liable for any breach of this agreement caused or substantially contributed to by force majeure.
